capiton acquires majority stake in Wundex Group

Wundex Group, with headquarters in Senden, Germany, is a leading home care provider for patients with chronic wounds. The company‘s qualified wound managers provide home care services that enable faster and more effective wound treatment and significantly reduce the workload of general care providers and physicians, backed by an integrated digital platform. In addition to treatment services, the company also offers a complete range of 60,000 home care products and decubitus systems. With its three business units: home care services, home care products and decubitus systems, Wundex has built a fully integrated unique home care offering. Following a period of strong growth that saw Wundex develop into a leading provider of wound care services in Germany, the founders decided to partner with an investor with strong sector expertise and specialization to accelerate the company‘s growth plans. Both founders will retain a significant shareholding and will continue to run the day-to-day operations of the company. capiton and management plan to grow the business organically as well as through acquisitions of smaller players in this fragmented market.

Transaction summary

capiton has acquired a majority stake from the founders and BE Beteiligungen Fonds. Financing of the transaction is provided by capiton’s current investment vehicle, capiton VI. Additional funds have been reserved to finance both organic and inorganic growth initiatives. Closing of the transaction remains subject to the customary approvals by the relevant anti-trust authorities. Sellers and buyers have agreed not to disclose the financial terms of the transaction. capiton was advised by WMC Healthcare (Commercial), KPMG (Financial), BMH (Legal), EY (Tax), Code&Co (IT), AvS (Management Audit), and Tauw (ESG).
